Relinquishment of Mr Stuart Maxwell Kenny as a member of the audit committee

The board of directors of AusGroup Limited (the “Company”) wishes to announce that following the appointment of Mr Stuart Maxwell Kenny as acting chief executive officer of the Company with effect from 31 May 2011, he relinquished his position as a member of the audit committee.

The remaining two members in the audit committee are as follows:-

- Mr Kok Pak Chow (Chairman)
- Mr Kelvin Lee Kiam Hwee (Member)

The directors will be appointing a new audit committee member soon.
