Reconstitution of Board Committees

The board of directors of AusGroup Limited (the “Company”) wishes to announce the following:-

• Mr Damien Marian O’Reilly was appointed a member of the remuneration and human capital committee of the Company with effect from 1 July 2011;
• Mr Grant Anthony Pestell was appointed a member of the audit committee of the Company with effect from 1 July 2011; and
• Mr Kok Pak Chow ceased to be a member of the remuneration and human capital committee of the Company with effect from 1 July 2011.

Following the above, the composition of the various board committees is as follows:-
