Dissolution of Dormant Subsidiary

The board of directors of AusGroup Limited (“AusGroup”) refers to the announcement dated 14 July 2011 on the closure of a dormant subsidiary, AGL Cactus Pte. Ltd. (“AGL Cactus”).

Further to the announcement, the board wishes to announce that AGL Cactus held its final meeting of members on 8 February 2012 and the return by liquidator relating to final meeting was lodged with the Accounting and Corporate Regulatory Authority on 10 February 2012. On the expiration of 3 months after the lodging of the return by liquidator relating to final meeting, AGL Cactus shall be dissolved.

The dissolution of AGL Cactus is not expected to have any material impact on the net tangible asset and earnings per share of AusGroup for the financial year ending 30 June 2012.
